Replacing a lead investor and what happens if they quit

## Replacing a Lead Investor ## The Lead Investor is meant to advocate for investors. You should choose your Lead Investor carefully - pick someone you like working with. However, if you have evidence of bad behavior that is against the best interests of your company or a serious conflict of interest, Wefunder can intervene in extraordinary circumstances. Depending on the circumstances, Wefunder can remove the Lead Investor, organize a vote of all Wefunder investors on whether to remove the Lead Investor, and/or organize a vote of all Wefunder investors on a particular voting decision for which the Lead Investor has a conflict of interest. ## What Happens if a Lead Investor Quits ## If your raise began before February 19, 2026, then you will be required to replace your Lead Investor. You can discuss your options with the point of contact for your raise. If you do not replace your Lead Investor then rather as having all of the investors within your SPV voting through one designated person, you will be required to organize a vote of all Wefunder investors in your SPV for corporate decisions that require an investor vote. If your raise began on or after February 19, 2026, you will have the option of replacing your Lead Investor, becoming the lead yourself (founder led), or choosing someone else that fits the [lead requirements](https://help.wefunder.com/hc/t6vc02j1gl/article/a83db903-who-qualifies-to-be-a-lead-investor).
