Maximum fundraising limits under Reg CF, Reg D, and Reg A+

## Regulation Crowdfunding (Reg CF) Under Regulation Crowdfunding, you are able to raise up to $5 million per year. ## Regulation D (Reg D) You can, however, raise an unlimited amount under Regulation D from accredited investors. You are allowed to run a parallel Regulation D 506(c) alongside your Wefunder campaign. **506(c) vs. 506(b) while running Reg CF:** A Reg D 506(c) offering allows public solicitation, so you can promote it alongside your Reg CF campaign at the same time. (Note that Wefunder does not support 506(c) SPVs — you can take direct checks under 506(c) off-platform while running your Reg CF on platform.) A Reg D 506(b) offering, by contrast, prohibits public advertising: while a 506(b) is open you cannot make public posts announcing an upcoming CF round or its terms. Wait until the 506(b) closes before promoting the CF publicly — if you promote the CF while the 506(b) is still open, you'll be legally required to close the 506(b) immediately. **Reg D does not count toward Reg CF limits.** Money raised under Regulation D does not count toward the $5M Reg CF annual limit — the two are tracked separately. If the terms are exactly the same, we can add the Regulation D funds to the progress bar on your campaign page cosmetically (though these funds will not count towards any marketing thresholds). ## Regulation A+ With Regulation A+, you can raise up to $75M per year.
