## Fiduciary responsibility
The Board of Directors have a fiduciary responsibility to guard the interests of the shareholders of a company.
## What the board does
The board makes decisions on major strategic issues, and can often (but not always) fire the CEO.
## Typical board composition in an early-stage startup
In an early stage startup that has just raised a Series A, it's most common to have three board members: two appointed by the founders, and one by the venture capitalist. Usually at each major subsequent round of funding, another board seat is created.
## Form C signing requirement for Wefunder fundraising
The SEC requires that the majority of the Board of Directors sign the Form C to fundraise on Wefunder.
## Do I need a US Social Security Number to file my Form C as an international founder?
No. The SEC accepts Form C filings from non-US officers and directors. The hard part is just notarizing the Power of Attorney (POA) — and you have three different ways to do that.
### Option 1: Proof.com (the default)
Proof.com is our standard notarization platform. It accepts an **SSN or an ITIN** in the identity verification step, so if you have either, this is the fastest path.
If you have neither, Proof.com may still work for you — there's no publicly documented country blacklist, and many foreign founders complete it successfully. Try it first. If you hit a wall, move to option 2 or 3.
### Option 2: US Virtual Notary
If Proof.com doesn't work for any reason, use [https://usvirtualnotary.com](https://usvirtualnotary.com). It's another remote online notarization service that accepts a broader range of foreign IDs. The output is the same — a notarized PDF you upload back to Wefunder.
### Option 3: Local notary + upload
You can also print the POA, take it to a notary wherever you live (every country has them, though the title varies — notary public, notaire, public, etc.), get it stamped in person, scan it, and upload it.
This option works anywhere. It's the most reliable fallback if remote services don't cover your country.
### Can a US-based officer sign instead?
Yes. Any C-Suite or President-title officer of your company can sign the Form C POA. If your CEO is non-US but you have a US-based COO, CFO, or President, that person can be the signer and use the standard Proof.com flow with their SSN.
### Are there any country restrictions?
There's no public country blacklist. But Wefunder still has to clear standard compliance checks — sanctions screening, identity verification, and intended use of the document. If your country is on a US sanctions list, the raise itself may not be possible, regardless of notarization.

1. **Try Proof.com first** — it accepts SSN or ITIN, and works for most foreign founders.
2. **If it fails, use usvirtualnotary.com.**
3. **If that fails too, get a local notary and upload the PDF.**
4. **Or designate a US-based officer** to sign in your place.
You will not get blocked from raising on Wefunder because of where you live. There's always a path.
