What is the difference between Reg CF and Reg D on Wefunder?
Reg CF (Community Round):
- Open to anyone — accredited and unaccredited investors.
- Public solicitation allowed.
- Requires Form C filing and financial review/audit (review/audit if raising above $124k, if below you can file with self-compiled GAAP format financials).
- Wefunder fee: 7.9% of amount raised.
- Maximum raise: $5M per 12-month period.
Reg D (Private Round / SPV):
- Accredited investors only.
- 506(b): no public advertising; investors must have pre-existing relationship.
- 506(c): public solicitation allowed, but must verify accreditation.
- Wefunder fee (if SPV generated through Wefunder): 5%, up to $10K. Wefunder does not support 506(c) SPVs.
- No raise cap for accredited-only rounds.
