"Rolling" withdrawals overview

## What's a "rolling" withdrawal? Instead of waiting until your round closes to access your money, you can pull funds out in portions while the round is still open. Each chunk is called a "tranche." So basically, you get access to some of your capital before the whole round wraps up. ## Can you get a rolling withdrawal? You need all of these to be true: **1. Your round is out of "Testing The Waters" mode**: Once you've filed your Form C, the SEC requires you wait at least 22 days before you can withdraw anything. After that waiting period, assuming you meet the remaining qualifications, you're clear to start pulling funds. **2. You've raised your round's minimum offering amount**: For your first disbursement, you need to have raised the round's minimum offering amount (at least $50k, but it could be more). For subsequent disbursements, you must have at least $50,000 in "ready" funds (these are fully cleared, available funds shown on your withdrawals page). Note: A significant portion (20% or more) of your first disbursement total cannot come from officers or directors of your company. **3. Your lead investor has invested the agreed-upon amount**: Your lead investor must have created and funded their investment before we can issue funds for the first time. **4. You've given us your wire info**: You can save your wire info in the app from the withdrawals page: **https://wefunder.com/[your-company]/withdrawals** (replace [your-company] with your campaign URL slug). If you run into any issues saving your wire info, uploading your account statement, or connecting your bank account with Plaid, email an account statement to closing@wefunder.com to have us manually review and save the information. We require an account statement to verify your bank details. ## Timing your requests We send funds on Fridays, but SEC rules require giving investors 5 business days to opt out before each disbursement. That means you need to request funds by **Monday of the week before** you want the Friday disbursement. For example, if you want funds on Friday, 12/4/26, you should submit your request no later than Monday 11/23/26. We cannot guarantee this timing week-to-week; your requested week may already be full and you might need to wait an additional week. ## What happens to investors? When you request a rolling withdrawal, investors get 5 business days to either confirm staying in or opting out if they've changed their mind. This is an SEC-required safeguard giving them one last chance to back out before locking in their investment. Opting out delays their investment for that tranche but does not cancel it. ## How to request a rolling withdrawal Go to your withdrawals page to see your "ready" funds and make a request: **https://wefunder.com/[your-company]/withdrawals** You'll see a "Request Funds" button to start the process and track your withdrawal from requested, approved, opt-outs, processing, prepared, to withdrawn. If the "Request Funds" button is greyed out, check the criteria checklist box showing four criteria: - Your round is out of Testing the Waters - You have raised the minimum or have enough ready funds - Lead investor funded - Wire info saved Green checkmarks mean criteria are met; red X's mean something is incomplete or you might be too early to request another withdrawal. You can only request a withdrawal once every four weeks. If you run into any issues or are unsure why criteria aren’t met, contact closing@wefunder.com. --- ## Requesting subsequent (rolling) withdrawals If you have already made a withdrawal before, here’s how you request another: 1. Confirm you have at least $50,000 in "ready" funds fully cleared and available on your withdrawals page. 2. Ensure at least 4 weeks have passed since your last withdrawal was processed. 3. Visit your withdrawals dashboard at **https://wefunder.com/[your-company]/withdrawals**. 4. Find and click the "Request Funds" button if it is available. 5. If the "Request Funds" button is greyed out, the criteria displayed will help identify what’s missing or if it’s too soon to request again. Once requested, you can monitor the withdrawal progress through stages until the funds hit your account.
