Form C
## Definition: What is a Form C?
A Form C is the compliance document companies must file with the SEC to collect investments on Wefunder via Regulation Crowdfunding.
## What information is needed to generate a Form C?
Here's what you can expect to include in your legal disclosures, which Wefunder will then use to generate your Form C:
- Company incorporation information (like legal name, EIN, and incorporation date).
- Owners, officers, and Directors names and work history (usually as a LinkedIn link).
- The terms you'd like to offer on Wefunder.
- The contact information of your Lead Investor.
- Your campaign minimum and maximum, as well as what you plan to use the funds for.
- Potential risks you see in your business.
- An overview of your cap table.
- Information on prior debt and equity raises (like the date, amount, and terms of the raise).
- Recent financial information (like monthly revenues, expenses, and COGS).
- Financial statements
## Do I need to hire an attorney to file my Form C?
No. Once you provide everything we need via the Form C checklist, Wefunder prepares and files your Form C for you. You'll review and sign the Form C before we submit it to the SEC, but we handle the whole process — you don't need to hire a separate attorney to draft it. If you'd like your own legal team to review the Form C after we draft it, we're happy to work with them.
## What about my Annual Reports?
Wefunder can also assist with filing your Annual Reports. You'll need to provide information and updated financials for each annual report, but Wefunder handles the actual SEC submission.
## What happens when you file your Form C?
When a company hits its goal, Wefunder will help it file its Form C. Once that is complete, everyone who made a reservation will be emailed to confirm their reservation into an investment. When investors do this, they can proceed with the payment method they originally intended or change to a new one. Investors will have the following options to pay:
- ACH Transfer (US bank account only)
- Credit Card - including Apple Pay and Google Pay (limit $10,000 per investment)
- Stablecoin
- Wire Transfer (investments $1000+ only)
