The right raise type for you
## Can Wefunder support a Series A or later raise?
Yes. Wefunder works at every stage — pre-seed all the way through Series C and beyond. We've helped raise capital for VC-backed companies, companies with notable angel investors, and growth-stage founders running their first community round.

## Which raise structure makes sense for a larger round?
It depends on the goal:
- **Regulation CF (Community Round)** caps at $5M per 12-month period. Best when you want a broad community of small-to-mid-size investors who become brand advocates, customers, and referrers. You can raise up to $5M from anyone (no accreditation required), which is unique to Reg CF.
- **Private Round (Regulation D)** is for accredited investors only. By default, a Private Round on Wefunder is a **Reg D 506(b)** — you cannot generally solicit or publicly advertise it. **506(c)** (which allows public solicitation) is supported only on a case-by-case basis for specific approved situations.
- **Running a Reg CF and a Reg D in parallel is not common.** It is supported in certain cases after the Community Round is already live and clears $5M. The parallel Reg D in that scenario has to be a **506(c)** — and 506(c) is only approved for specific cases on top of a successful Reg CF raise. Email **launch@wefunder.com** for details.

## Will a Wefunder raise look bad to future VCs?
This is the #1 worry founders raise. The short answer: not anymore. Top-tier VCs have invested into rounds with prior Wefunder community-round participants. The cap-table mechanics (SPVs that aggregate investors into a single line) were specifically designed to keep VCs comfortable. ## What if my round is bigger than $5M?
That depends on the situation. The $5M figure is the annual cap for a Community Round (Reg CF). If you clear $5M on a successful Reg CF raise, we can consider opening a 506(c) Private Round for specific approved cases on top of it. ## Bottom line
Wefunder isn't just for early-stage. The default Private Round is a Reg D 506(b), which requires existing relationships with accredited investors and does not allow public solicitation. 506(c) — which allows public solicitation — is approved case-by-case.
